Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

If account registration is required, you agree to provide accurate information and to keep your credentials confidential. You are responsible for all activity occurring under your account. Notify us promptly of any unauthorized use.

2. Description of the Service

The Service generates key performance indicator (“KPI”) frameworks and related outputs based on inputs you provide, such as industry, role, or business area. Certain KPI values and calculations are produced by deterministic code rather than generated by a language model. Other elements may be produced with the assistance of third-party artificial intelligence services.

The Service is provided as an informational and productivity tool. It does not constitute professional, financial, legal, accounting, or management advice, and is not a substitute for the judgment of a qualified professional.

2.3 Document Review (“Check My Work”)

The Service includes a document review feature that analyzes a report or document you upload and returns written findings on screen, such as figures whose stated components imply a different number, statements that appear inconsistent with one another, figures stated without an identifiable source, and leftover drafting artifacts. Review findings describe the document as written: they are observations about the internal consistency and presentation of your document, not a verification of facts about the world, an audit, or an assurance engagement, and they do not certify that a document is accurate, complete, or fit for any purpose.

A review may examine only part of a document; the scope of what was and was not examined is disclosed with the findings. The Company does not warrant that a review will identify every error, inconsistency, or omission in a document, and a finding of “no discrepancies” within the stated scope is not a representation that none exist. Reviews are one-time purchases unless expressly stated otherwise; a completed review is consumed on delivery of its findings, and a review that fails to complete is not consumed. Review findings are Outputs under these Terms and are provided for your internal business purposes.

2.4 Uploaded Documents

By uploading a document to the Service, you represent and warrant that you own the document or otherwise have all rights, consents, and permissions necessary to submit it for analysis, and that submitting it does not violate any law, contract, or obligation of confidentiality owed to any third party. You retain ownership of documents you upload. You grant the Company a limited license to store, process, and analyze an uploaded document solely to provide the Service to you, including processing with the third-party artificial intelligence services described in this Section 2. Uploaded documents are handled as described in the Privacy Policy; you may delete an uploaded document from your account at any time. The Company is not responsible for the contents of documents you upload, and you remain solely responsible for how you use the resulting findings.

2.5 Fees, Payment and Refunds

All prices are one-time charges, displayed at checkout before you pay. There is no subscription and no recurring charge. Prices may change; the price shown at checkout is the price you pay. Payments are processed by a third-party payment processor, and the Company does not store your full card details.

A report build is purchased in advance. Each purchase adds one build credit to your account, and the credit is consumed when your report is delivered to you on screen. If a build fails before delivery, the credit is returned to your account automatically. If a report has been delivered and a later download or formatting step fails, the credit has been used; you may re-render the delivered report at no further charge. Add-ons, such as downloadable formats or white-label output, apply only to the report they were purchased with and do not transfer to other reports. Student pricing requires an academic email address that is verified at the time of purchase, is personal to you, and is not transferable. A document review is consumed on delivery of its findings as described in Section 2.3.

All sales are final. Because Outputs are generated and delivered immediately upon purchase, the Company does not offer refunds or credits for change of mind, unused credits, or dissatisfaction with an Output, except where a refund is required by applicable law. 3. License to Use the Service

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and to use the outputs generated for you (“Outputs”) for your internal business purposes. This license does not transfer ownership of the Service, the underlying software, the prompt engineering, the framework logic, or any other Company intellectual property.

4. Intellectual Property

The Service, including its design, code, databases, prompt engineering, framework methodology, structure, organization, text, graphics, logos, and all other materials (collectively, the “Company Materials”), is owned by Charles Pattillo LLC or its licensors and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

As between you and the Company, you retain ownership of the input data you submit. You grant the Company a non-exclusive, worldwide, royalty-free license to use your inputs solely to operate, maintain, and improve the Service.

Subject to these Terms and your payment of any applicable fees, the Company assigns to you ownership of the specific Output text delivered to you, excluding any Company Materials, templates, methodology, or pre-existing components incorporated into that Output, which remain the property of the Company and are licensed to you under Section 3.

5. Prohibited Conduct

You agree that you will not, and will not permit any third party to:

• Copy, reproduce, scrape, harvest, crawl, or systematically retrieve the Service or its Outputs except as expressly permitted by these Terms;
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, prompt engineering, framework logic, or trade secrets of the Service;
• Access the Service through automated means (bots, scripts, scrapers) without our prior written consent;
• Resell, sublicense, white-label, or commercially redistribute the Service or bulk Outputs as a competing or substantially similar product or service;
• Circumvent, disable, or interfere with rate limiting, security, authentication, or access-control features;
• Transmit malware, conduct denial-of-service attacks, or otherwise impair the integrity or performance of the Service;
• Use the Service to violate any applicable law or the rights of any third party; or
• Misrepresent the Outputs as independently verified benchmarks, guarantees, or professional advice.

6. Third-Party Services

The Service may rely on third-party providers, including artificial intelligence model providers. Your use of the Service is also subject to the applicable usage policies of those providers. We are not responsible for the acts, omissions, availability, or content of third-party services.

7. Disclaimers and No Warranty

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Company does not warrant that the Outputs are accurate, complete, reliable, current, error-free, or suitable for any particular purpose. KPI frameworks and benchmarks are illustrative starting points only. You are solely responsible for reviewing, validating, and independently verifying any Output before relying on it, and for any decisions or actions you take based on the Output.

The Company does not warrant that the Service will be uninterrupted, secure, or free of harmful components.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR THE OUTPUTS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its owners, members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your Outputs, your violation of these Terms, or your violation of any law or third-party right.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for any violation of these Terms. Upon termination, the licenses granted to you cease, except that Sections 4 through 9, 11, and 12 survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Sacramento County, California, and you consent to personal jurisdiction and venue there.

12. General

These Terms, together with any policies referenced herein, constitute the entire agreement between you and the Company regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We may update these Terms from time to time, and the updated Terms become effective when posted. Your continued use of the Service constitutes acceptance of the updated Terms.
